2. Eligibility: Sweepstakes is offered only in the United States to legal Arizona residents who are at least 21 years old as of the date of entry. Sweepstakes is void where prohibited or restricted by law. Employees and directors of KPNX –TV, a division of Multimedia Holdings Corporation, The Arizona Republic, azcentral.com, and all of their parents, affiliated and subsidiary companies and their advertising and promotional agencies and the immediate family (spouse, parent, sibling and children, regardless of where they live) or members of their same households (whether related or not) of such employees and directors are not eligible. Employees and family members of any third party contest participants are not eligible. Only one entry per person. By entering, you agree to these Official Rules and the decisions of KPNX, which are final and binding in all respects.

3. Entry: The sweepstakes begins at 1:01p (MST) on 9/15/08 and ends at 11:59p on 9/28/08 (“Sweepstakes Period”). All registration forms must be received by 1159p (MST) on 9/28/08. Limit one entry per person regardless of method of entry. Duplicate entries will result in disqualification. Winner must be in complete compliance with all contest rules. By entering, contestants agree that the decision of the sponsors is final.

3. Drawing: Odds of winning depend total number of eligible entries received. Two winners will be randomly drawn from all eligible entries received in a random drawing to be held on September 28, 2008 by representatives from USA Baby. Potential winner need not be present to win. Alternate potential winners will be drawn in the event that the first potential winner drawn cannot be reached within five (5) days from the first notification attempt or that such person does not meet the eligibility qualifications.

4. Prize: One (1) grand prize to be awarded includes one (1) Flair Highchair. Childs recommended weight limit: 50lbs, maximum ages: 4 years, base diameter: 23.5”, chair weight: 28lbs. A 1099 will be issued from KPNX-TV to the winner for the value of the prize. The winner is responsible for all possible Federal, State or County taxes. In the event of a noncompliance with contest rules or if the winner declines the Prize, KPNX-TV will contact the alternate potential winner.

5. Sweepstakes Conditions: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, entrants agree to be bound by these Official Rules and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. WINNERS AND ENTRANTS RELEASE, DISCHARGE AND AGREE TO INDEMNIFY AND HOLD HARMLESS, KPNX BROADCASTING, GANNETT INC., USA Baby, THEIR RESPECTIVVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES FROM AND AGAINST ANY LIABILITY OR ANY INJURIES, DAMAGES OR LOSSES TO ANY PERSON (INCLUDING DEATH) OR PROPERTY OF ANY KIND RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF ANY PRIZE OR PARTICIPATION IN ANY SWEEPSTAKES RELATED ACITIVITY OR PARTICIPATION IN THIS SWEEEPSTAKES.

The value of the Destry's Baby Shower Giveaway is based on comparable packages. There can be no guarantee that the eventual winner will be able to sell the package for approximately $652.93 nor can there be an guarantee that the Internal Revenue Service (IRS) or the Arizona Department of Revenue, or its counterpart in another jurisdiction will accept the value of any prizes for purposes of determining any income tax which may be due by the winner. The prize winner will not have the option of accepting a cash equivalent. There will be no exchange or modifications to the prize.

All decisions by KPNX are final. At any time changes may be made as to the manner of entry or to the prizes awarded.

6. Limitations of Liability. By entering the Contest, entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action, and entrant waives his or her right to a jury trial for such disputes, claims, and causes of action; (2) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

7. Construction. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any contestant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of Arizona, without giving effect to any choice of law or conflict of law rules or provisions (whether of Arizona, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Arizona. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the valid or enforceable provision was not contained therein.
